AIG has announced an internal restructure designed to improve its own corporate governance.
The company said it believed its chairman should be an independent director and that at least two-thirds of the directors should be independent.
It will make changes to its by-laws and governance guidelines to support the structural changes, AIG said.
An annual meeting will be held in the company's New York headquarters on 11 August.
