New European rules could prevent secret negotiations about takeovers and mergers, according to the ABI.
Proposed amendments to the European Takeover Directive might force companies to consult employees before and during takeover negotiations, the ABI said.
"There is no way you could make a disclosure to employees without falling foul of the laws preventing market abuse," spokesman Peter Montagnon warned.
